2. Payment Terms:

2.1 Fees and Invoicing: The fees for our services will be outlined in the project agreement or proposal. You agree to pay the agreed-upon fees in a timely manner. Invoices will be issued according to the agreed payment schedule, and payment is due within the specified time frame.

2.2 Late Payments: In the event of late payment, B2 Marketings reserves the right to suspend work, withhold project deliverable, or terminate the agreement. Late payments may also incur late fees or interest charges as specified in the project agreement or proposal.

2.3 Third-Party Costs: You are responsible for any additional costs or expenses incurred during the project, including but not limited to domain registration fees, hosting fees, stock imagery, or third-party software licenses. Such costs will be discussed and agreed upon before implementation.

3. Intellectual Property:

3.1 Ownership: Unless otherwise agreed upon in writing, all intellectual property rights, including copyrights, trademarks, and design rights, developed during the course of the project will be transferred to you upon receipt of full payment. B2 Marketings retains the right to showcase the completed work in their portfolio and marketing materials.

3.2 Client Materials: You warrant that any materials, content, or intellectual property provided by you for the project do not infringe upon the rights of any third party. You grant B2 Marketings a non-exclusive license to use, reproduce, and modify such materials for the sole purpose of completing the project.

4. Confidentiality:

B2 Marketings and you agree to treat all non-public information exchanged during the project as confidential. This includes, but is not limited to, project details, trade secrets, proprietary information, and client data. Both parties shall take appropriate measures to safeguard and prevent the unauthorized disclosure of such information.

5. Limitation of Liability:

5.1 Service Limitations: B2 Marketings endeavours to provide high-quality services, but we do not guarantee that our services will be error-free or uninterrupted. We shall not be held liable for any damages, loss of data, or other consequences arising from the use or inability to use our services.

5.2 Indirect Damages: In no event shall B2 Marketings be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with the use of our services or website.

6. Termination:

6.1 Termination by Either Party: Either party may terminate the project or services by providing written notice. Upon termination, you shall pay for the services rendered up to the termination date.

6.2 Termination for Breach: B2 Marketings reserves the right to terminate the project or services immediately if you breach these Terms, fail to make payments, or engage in any activity that may harm B2 Marketings‘ reputation or violate applicable laws or regulations.

7. Governing Law and Jurisdiction:

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which B2 Marketings operates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

8. Amendments:

B2 Marketings reserves the right to modify or update these Terms at any time. Any changes will be effective upon posting the revised Terms on our website.
